If you are using our services on behalf of a company, you represent that you have authority to bind that company.
1. Services
Appar Global provides apparel sourcing, manufacturing support, and related B2B services. Specific deliverables, timelines, minimum order quantities (MOQs), pricing, and quality standards are defined in separate quotes, purchase orders, or written agreements. Those documents prevail over these Terms where they conflict.
2. Eligibility and accounts
Our services are intended for businesses and commercial buyers. You agree to provide accurate information and to keep account credentials confidential. You are responsible for activity under your account.
3. Orders and quotes
Quotes are invitations to contract unless expressly stated otherwise. We may revise or withdraw quotes before acceptance. An order is binding when confirmed in writing (including email) by both parties or as stated in your agreement. You are responsible for the accuracy of specifications, approvals, and approvals for samples and bulk production.
4. Pricing and payment
Prices are typically ex-factory unless stated. Taxes, duties, shipping, insurance, and banking fees may be additional. Payment terms (e.g., deposits, balances, letters of credit) are as agreed in your order or contract. Late payments may incur interest or suspension of services as permitted by law and your agreement.
5. Intellectual property
You retain ownership of your trademarks, designs, and materials you provide, subject to licenses needed for us to perform services. You warrant that you have rights to use and manufacture those materials. We retain rights in our own processes, tooling, and general know-how, excluding your confidential materials.
6. Confidentiality
Each party may receive confidential information from the other. Such information must be used only for the stated business relationship and protected with reasonable care, subject to any separate non-disclosure agreement.
7. Warranties and disclaimers
We perform services with reasonable skill and care in line with industry practice. Except as expressly stated in a written agreement, we disclaim implied warranties to the fullest extent permitted by law. Production timelines and yields may be affected by force majeure, raw material availability, regulatory changes, or factors outside our reasonable control.
8. Limitation of liability
To the maximum extent permitted by applicable law, Appar Global will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our aggregate liability arising out of these Terms or related services is limited to the fees paid by you to Appar Global for the specific order or project giving rise to the claim during the twelve (12) months before the claim, unless a separate agreement specifies a different cap.
9. Indemnity
You agree to indemnify and hold harmless Appar Global and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your content, specifications, products sold under your brand, or your breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.
10. Suspension and termination
We may suspend or terminate access to our services or decline future orders for breach of these Terms, non-payment, or legal or regulatory risk. Provisions that by nature should survive will survive termination.
11. Governing law
These Terms are governed by the laws specified in your master agreement, or if none, by the laws applicable in Bangladesh, without regard to conflict-of-law rules. Courts in the agreed venue have jurisdiction unless otherwise stated in writing.
12. Changes
We may modify these Terms by posting an updated version on this page. Material changes may be communicated through the contact information you have provided. Continued use after the effective date may constitute acceptance where permitted.
